Did you over clock your processor if so try reducing the clock a bit. Also check out "Memtest". It's a small program that lets you check your RAM thoroughly. Let it run overnight. You'd be surprised how many RAM devices can't handle the tests, even when they're not overclocked.
If you can't find Memtest on its own, lots of free Linux distributions include it in their "Live" CDs. Try Ubuntu's Live CD or the install disc #1 for Fedora or SuSE. If it shows memory errors (tests 3, 5 and 8 seem to be the toughest), try reducing your overclocking, or increase your memory times until its stable.

or

Right click on your desktop>Properties>settings where you change your screen rez,>advanced, there it sould give you options what to do when you want to shutdown, restart or hibernate

http://support.microsoft.com/default.aspx?scid=kb;en-us;315664 (http://support.microsoft.com/default.aspx?scid=kb;en-us;315664)

To work around this issue, disable power management of the USB hub.

Note If you perform the following procedure, your computer will be able to shut down correctly. However, this procedure may also reduce the battery life on a portable computer.

To disable power management on the USB hub:

   1. Right-click My Computer, click Properties, click the Hardware tab, and then click Device Manager.
   2. Double-click Universal Serial Bus controllers to expand it, right-click USB Root Hub, and then click Properties.
   3. Click the Power Management tab.
   4. Click to clear the Allow the computer to turn off this device to save power check box, and then click OK.

To resolve this issue, follow these steps:

   1. Click Start, and then click Control Panel.
   2. In Control Panel, click Performance and Maintenance, and then click Power Options.
   3. Click the APM tab.
   4. Check to select the Enable Advanced Power Management Support check box, and then click OK.

Does the system go through any of the shutdown sequence and then just not power down, or does it just stay in Windows regardless of choosing shutdown or holding the power button?

Goes thru the entire sequence, to the point where you hear it power down and the screen goes blank. But the PC just stays on. (to turn it off completely you need to hold the power button in for about 5 seconds) It's almost like the days of Win '95 when after shut down it prompted you to turn the computer off (it is now safe to turn of the computer, or such), just without the prompt.

Btw i didn't mention im using XP Professional and connected to HDTV using HDMI out on Nvidia geforce 9400GT. Tried using the VGA out to see if that helps but it don't, long shot i know.

Ive done some googling for problems with that video card.

Its highly possible you need to download another driver for that card.
Since you are using winxp, make sure you didnt install the driver for Vista

Have you tried starting the PC it in safe mode, then see if it shutdowns ok? (you may have to connect monitor to VGA output first, Im not sure if the HDMI will work in safe mode.)

the nvidia website has a lot of info. I searched the support data base for 9400Gt and got this page:

Sorry about the long link, and Im not sure if it will work from here.
