Is My Computer Worth Upgrading?

I've been debating about this for a while. Whether to scrap my current PC and start fresh, or to upgrade. An upgrade covering everything I want it to would be approx $300. A new PC with Specs I would like would be around $800. Current Specs:
1.6GHz P4
384MB PC133
Geforce FX 5500 128 AGP.

Now, the most I can upgrade to is:
2.8GHz P4 (No HT, No EM64T), 400MHz FSB
1.5GB PC133 RAM
Geforce FX 6600

Now please tell me, in your infinite wisdom, should I bother?

Sell it while it's still worth something, and buy new parts.

You could always upgrade and forego some of the bigger parts in your $800 scenario, such as using your old graphics card for a month or so (which will also get you a lower price), and your old hard drive, if the new mobo supports it.  That old PC case should also be able to handle your new mobo, so there's another thing.....just pick up a new mobo/proc/memory and power supply if needed, and scavenge the parts from the old one.
